Business Terms

Version v1.1 · Effective 6 October 2026 · Last updated 6 October 2026

These Business Terms set out the basis on which Workshop Partner provides consultancy, planning, equipment supply, installation and support services to business customers.

About these terms

These terms apply when a business customer accepts a quotation or order from Workshop Partner Ltd. The quotation or order, these terms and any document it expressly refers to form our contract. If a quotation changes a specific point in these terms, the quotation takes priority for that point.

These terms are written for business customers. If you are buying mainly for personal use, tell us before accepting a quotation. Nothing in these terms removes any statutory consumer rights or cancellation rights that apply.

1 Services and scope

We will provide the advice, support, goods or services described in the quotation or order with reasonable care and skill. You remain responsible for final purchasing, operational, maintenance and safety decisions unless we expressly accept a different responsibility in writing.

Unless expressly included, our work does not include legal or financial advice, formal health and safety advice, statutory inspection, structural design, electrical certification or acting as a legally appointed competent person. Physical or manual work is included only under a separate written scope.

2 How we may work with you

The quotation or order should identify the relevant commercial route:

·       Advice or retained support: we provide the stated advice, sourcing, project direction or regular support.

·       Supplier direct: a supplier or specialist contractor contracts with you directly and we provide only the stated introduction, coordination or support.

·       Workshop Partner resale: we buy goods and sell them to you, so Workshop Partner Ltd is the seller.

·       Workshop Partner specialist works: we contract with you for the stated work and appoint an independent specialist to carry out any physical work.

3 Quotations orders and changes

A quotation is open for the period shown on it. An order is accepted when we confirm it in writing, take an agreed deposit or begin work at your request. Prices exclude VAT unless stated otherwise. Changes to scope, timing, route or price must be agreed in writing. We will tell you if supplier availability, price or lead time changes before we commit your order.

4 Payment and late payment

Payment is due on the date or within the period stated in the quotation or invoice. We may require a deposit, staged payment or payment in full before ordering equipment, booking a specialist or committing supplier cost. You must pay undisputed invoices on time. We may suspend work on reasonable written notice while an undisputed amount remains overdue.

For a qualifying business debt, we may claim statutory interest, fixed compensation and reasonable recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998, as amended or replaced. Statutory interest is calculated as simple interest and is not compounded.

5 Supplier direct purchases

If you contract directly with a supplier, your purchase or works contract, payment terms, delivery obligations, warranties and remedies are with that supplier. We are not responsible for the supplier's separate performance, but we remain responsible for our own negligence or breach of our agreed services. We will tell you before purchase if we expect to receive a commission or referral payment.

6 Equipment sold by Workshop Partner

Where we sell goods to you, your contract is with Workshop Partner Ltd. A manufacturer or supplier warranty may provide additional support, but it does not replace rights and remedies you have against us. We may rely reasonably on supplier specifications and lead times, and we will cooperate with relevant safety notices, corrective action and recalls.

7 Specialist contractors and physical work

Installation, commissioning, servicing, maintenance, repair, inspection, removal, relocation, electrical work and other physical work must be expressly included in a separate quotation or order. Where you contract directly with the specialist, that specialist is responsible for its contract and work.

Where Workshop Partner Ltd is your contracting party, we may appoint an independent specialist contractor and we remain responsible for the obligations we agreed with you. We will carry out reasonable checks appropriate to the work, which may include competence, qualifications, insurance and site documentation.

8 Your responsibilities

You must give us accurate information, timely decisions, safe access and relevant site details. Tell us about access limits, floor or structural information, asbestos, concealed services, hazards, site rules, permits and anything else that may affect the work. You remain responsible for safe operation, maintenance, statutory inspection and legal compliance at your premises.

9 Delays cancellation and committed costs

Neither party is liable for delay caused by events beyond its reasonable control. If the site is not ready, access is unavailable, instructions are missing or conditions are unsafe, we may charge reasonable waiting, aborted-visit or rebooking costs. If you cancel or change an order after we have committed supplier cost, you must pay work completed and costs we cannot reasonably avoid, reduce or recover.

10 Completion faults and warranties

Tell us promptly if goods or work appear incomplete, damaged or materially different from the agreed scope. Under a supplier-direct route, the supplier handles its product or workmanship warranty, although we may help coordinate the issue if agreed. Where we sold the goods or contracted for specialist work, we remain your commercial point of contact and will coordinate any remedy required by the order or law.

11 Liability

Nothing limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of title obligations relating to goods, breach of statutory consumer rights, or any liability that cannot lawfully be limited or excluded.

For a business customer, subject to the paragraph above and to the extent fair and reasonable, our total liability for a specific order is limited to 100 percent of the charges excluding VAT paid or payable to us under that order. For retained support, the limit is the charges paid or payable in the 12 months before the first event giving rise to the claim, or during the whole agreement if shorter.

For a business customer, and subject to the same qualifications, we are not liable for indirect or consequential loss, loss of profit, revenue, business, goodwill or anticipated savings, or wasted management time. This does not exclude our own negligence or breach. Where we are your contracting party, we do not avoid responsibility merely because an independent contractor carried out the work.

12 Ending ongoing services

Either party may end an ongoing service by giving the notice stated in the quotation or retainer schedule. We may suspend or stop work where continuing would be unsafe or unlawful, required information is missing, or an undisputed invoice remains unpaid after reasonable notice. Ending the service does not remove payment obligations or other rights that have already accrued.

13 General

Each party must protect the other's non-public commercial information. We will handle personal data under our privacy policy and applicable UK data protection law. A change to these terms must be agreed in writing. If part of the contract is unenforceable, the rest continues. The law of England and Wales applies and its courts have jurisdiction.

If something is wrong, contact us promptly using the details shown on the quotation, invoice or website so we can investigate and try to resolve it.
